General Terms and Conditions of Purchase
1. Application and Validity – General Provisions
These General Terms and Conditions of Purchase (“GTCP”) apply to any order (the “Order”) placed by Axima Concept S.A. and/or Ineo S.A. and/or Bouygues Energies et Services and/or any of their respective subsidiaries within the meaning of Article L233-3 of the French Commercial Code, asidentified in the Order’s header, referred to individually or collectively as “Equans France” or any other company within the Equans Group that expressly refers to these GTP (hereinafter “the Customer”) for the supply, within French territory, of tangible goods (“Products ”), services (“Services”), and/or work (“Work”) as defined in each Purchase Order referencing these GTC (“the Supply”). The purpose of these GTC is to establish the general obligations and respective liabilities of the supplier, defined as the recipient of the Purchase Order (“ the Supplier”) and the Customer within the framework of their contractual relationship regarding the Supply, hereinafter collectively referred to as the “Parties” or individually as the “Party”. These GTC apply without prejudice to any deviating terms negotiated and expressly accepted by the Parties, which shall then take precedence over the GTC. Any modification to a validly issued Purchase Order must be expressly agreed upon by the Parties. The Customer reserves the right to make changes to the Order, even while it is being fulfilled, any changes that may prove necessary. In such a case, the Supplier shall be required to notify the Customer, within a maximum of eight (8) calendar days from notification of the change to the Order, of the consequences of such changes on the agreed prices and delivery dates. These consequences must be subject to the Client’s written approval in the event of a change to the initially agreed-upon terms. Any formal notice regarding the Order must be sent by certified mail with return receipt requested to the other Party.
1.2 General Provisions The Customer and the Supplier are autonomous and independent, each acting in its own interest and being responsible for its own obligations, personnel, suppliers, and service providers. The Supplier may not make any commitments on behalf of the Customer without the Customer’s prior written consent. Any joint and several liability between the Customer and the Supplier is excluded, nor between the Client and its affiliated companies. The Order does not in and of itself confer any exclusivity in favor of one orother Party. The Supplier is required to immediately inform the Customer of any risk of economic dependence. The Parties agree that this duty to disclose is essential to enable the Parties to maintain a balanced relationship. The Supplier is bound by an obligation of result and may not rely on any omission, inaccuracy, or error contained in the Order to justify failure to comply with the obligation of result. The Supply must be performed, including, but not limited to, compliance with the obligations described in all contractual documents referenced in the Order, as well as compliance with regulations, the safety rules required by the authorities, industry best practices, and applicable standards, particularly with regard to cybersecurity requirements and regulations.
1.3 When the Supply is performed within the framework ofa main contract entered into between the Customer and a third-party principal, the Supplier agrees to comply, with full transparency, with the provisions of the main contract relating to the Supply that have been previously communicated to it by the Customer. Where Law No. 75-1334 of December 31,75, as amended, on subcontracting applies, the Order is placed subject to the condition precedent of the Supplier’s acceptance as a subcontractor and the final principal’s approval of its payment terms. To this end, the Supplier shall provide the Customer with all information requested in order to obtain such acceptance and approval. Furthermore, the Supplier agrees to:
▪ Assume, under an obligation of result, all obligations and responsibilities relating to the Supply in such a manner that no breach may be found by the end client with respect to these obligations;
▪ Provide its certificates of liability insurance and (if applicable) ten-year liability insurance certificates, specifically naming the project in question and, for the ten-year liability insurance, specifying coverage for construction sites carried out by subcontractors under the same conditions as the mandatory guarantees of the project owner;
▪ Consult in good faith with the Client to renegotiate the terms of the Order, even while it is being executed, should a modification be imposed or requested by the principal under the main contract;
▪ Not to contact the ultimate client directly regarding any questions, events, or matters related to the Supply, as the Client is the sole point of contact for the client regarding the performance of the Supply.
2. Placing the Order
The Order must be placed in writing by the Customer; it may take the form of a purchase order and/or special terms and conditions and/or a contract, whether in paper or electronic form. Orders placed verbally are valid if they are confirmed in writing. Each Order is accepted by the Supplier (i) upon the Supplier’s express acceptance, (ii) within a maximum of two (2) business days from the date it is sent by the Customer; otherwise, the Order shall be deemed to have been accepted without reservation by the Supplier, or (iii) if the Supplier voluntarily begins performance. However, the Customer may, upon expiration of the aforementioned period, cancel the Order without cause and without liability. Receipt of a down payment or the Supplier’s commencement of performance of said Order shall be deemed to constitute the Supplier’s acceptance of said Order. When the Supplier accepts the Order with reservations, it must notify the Customer within two (2) days mentioned above. In this case, the Customer will no longer be bound by said Order unless it confirms its acceptance of said reservations in writing.
Electronic Order
To facilitate the procurement of the Supplies, the Customer has implemented an electronic solution. Orders are placed primarily through this tool and sent to thegeneric email address provided by the Supplier, in the form of an email containing the purchase order as a PDF attachment.
Exchange of Documents Between the Supplier and the Customer Any electronic document exchanged between the Supplier and the Customer must include elements that identify its sender as well as elements intended to identify its content. The electronic contact information to be used by each Party is specified. The Parties agree that the electronic contact information is sufficient to identify the sender of electronic documents and to authenticate their origin.
Agreement on Evidence
The Parties shall treat the documents they exchange in electronic form as original documents, binding themin full and complete measure. The Parties undertake to ensure that these documents are created and retained under conditions that guarantee their integrity. The Parties shall ensure that the content of their documents complies with the obligations, including formal requirements, arising from laws, regulations, and commercial practices. In any event, except in the proven case of failure or corruption of their computer systems, the Parties expressly waive the right to claim that their transactions are null and void or unenforceable on the grounds that they were carried out via electronic or telecommunications systems.
Data Archiving
The Parties are personally responsible for archiving the documents sent and received, particularly for their own tax and accounting purposes.
Security
Each Party is responsible for selecting, implementing, andapplication of security measures, tools, and procedures to ensure the protection of its systems and data against the risks of unauthorized access, loss, alteration, or destruction. Each Party is responsible for conducting the necessary tests to ensure and monitor its own security measures, tools, and procedures.

It is noted that, pursuant to Article 242 nonies A of the CGI, the date ofinvoice issuance date is a mandatory legal requirement and must therefore be accurate and correspond to the date the invoice was actually sent to the recipient. Furthermore, sending an invoice late relative to the date stated on it is a source of errors and therefore compromises its proper processing. Consequently, any invoice with a discrepancy of more than seven (7) calendar days between the date stated on it and the date it is received will be returned to the Supplier to correct the issue date, and payment will not be made untilafter receipt of the corrected invoice and upon expiration of the time period specified on the purchase order. The Supplier is obligated to issue its invoice as soon as the sale or service—and more specifically, the Delivery—has been completed andexpressly undertakes to do so; these terms and conditions shall constitute a request for invoicing upon completion of the sale or service, and more specifically of the Supply.
3.3 Payment terms common to Axima, Ineo, and Bouygues Energies & Services and their subsidiaries within the meaning of Article L233-3 of the French Commercial Code: Unless otherwise stipulated in the Implementation Agreement and/or Purchase Order and subject to the application of Title II of Law No. 75-1334 of December 31, 1975, invoices are payable forty-five (45) days after the end of the month, the date ofinvoice date, except for periodic invoices, which are payable within 45 (forty-five) days net from the date of issuance by bank transfer to theprovided by the Supplier. Invoices received prior to delivery of the Supplies will not be accepted. Only Orders that have been accepted in accordance with Article 2 of the General Terms and Conditions of Sale will be paid. The Customer may set off any amount it deems owed by the Supplier, in respect of any Orders, against any amount owed by the Customer to the Supplier. In the event of a delay in payment attributable to the Customer, the Customer shall be liable for late-payment interest at a rate equal to three (3) times thestatutory interest rate applicable in France and in effect on thedue date, to which shall be automatically added a lump-sum indemnity for collection costs, the amount of which is set forth in Article D.441-5 of the Commercial Code. Payments by the Customer do not constitute Acceptance of the Supplies.
3.4 Payment in the case of an Order placed by Bouygues Energies et Services and/or one of its subsidiaries as defined in Article L233-3 of the French Commercial Code: Unless otherwise specified in the Implementation Agreement and/or Purchase Order, invoices are paid either (i) by promissory note or (ii) by bank transfer via the payment platform of the Bouygues Construction Group’s SCF Program, the terms of which are available at the following address: https://bycn.scf-onboarding.societegenerale.com/

4.4 Depending on the circumstances, the Supply may or may not be subject to an on-site acceptance procedure specified in the Order (“ Acceptance”). Acceptance is declared after the Supplier has fully fulfilled its obligations at the Order’s destination, and/or is declared when all requirements set forth in the acceptance procedure have been met.
4.5 The Supply must strictly conform in quality and quantity to the terms of the Order as well asthe contractual specifications. In this case, the price shall not be due, and any advance payments received must be refunded to the Customer as soon as possible. They may be deducted from the amounts due, unless the Supplier raises a justified objection within a maximum of five business days. They apply notwithstanding any action the Customer may takeagainst the Supplier to protect its interests and without prejudice to any damages or other penalties (performance, quality of service, etc.) that may be provided for in the Order. If the maximum penalty amount applicable under the Special Terms and Conditions is reached, the Customer may terminate the Order as of right, upon simple notification and without prejudice to any damages.

III/ Special Provisions Regarding Supplies
16. Warranties:
- Without prejudice to the application of public policy rules, the Service Provider warrants its supplies against any latent defect in design or manufacture that would render them unfit for their intended use for a period of one year from the date of delivery.
-
The warranty obligation is, however, expressly limited to repair or, at the Service Provider’s option, replacement with new supplies (excluding, in particular, costs for disassembly, transportation, assembly, or relocation), and excludes any other compensation for any reason whatsoever, including direct, indirect, or consequential damages. In the event of replacement with new parts, the defective parts shall be returned to the Service Provider and shall become its property.
The warranty does cover :
- replacement or repair resulting from normal wear and tear, deterioration, accidents, negligence, lack of supervision or maintenance (normal maintenance of the supplies is not included in the warranty and requires a separate maintenance contract), or improper use for the intended purpose, or defects due to a failure in power supply or storage;
- defects arising either from materials supplied by the Customer or from a design imposed by the Customer;
- failure to follow operating and maintenance instructions, or commissioning instructions;
- incidents resulting from unforeseeable events, force majeure, or natural causes;
- equipment located upstream or downstream or existing equipment into which the supplies are incorporated;
- any other cause that the Service Provider could not reasonably foresee or whose effects it could not prevent.
17. Retention of Title:
- It is expressly agreed that, until full payment—including principal and incidental amounts—has been made, which alone constitutes a transfer of ownership:
- The Supplies, whether installed or not, remain the property of the Service Provider, notwithstanding Articles 546, 551, and following, as well as Article 712 of the Civil Code.
- The delivered goods are in the Customer’s custody, and the Customer assumes all risks associated with them.
- Consequently, the Customer may not take any dispositive action regarding the delivered goods for which payment has not been made in full, nor may the Customer carry out any transformation, alteration, or modification of said goods, nor take any action that could affect the identification or segregation of the goods, unless expressly authorized in advance by the Service Provider.
- Until full payment has been made, without prejudice to other rights and the provisions of Article 6 “Payment – Late Payment,” the Service Provider may, even in the event of the Customer’s insolvency proceedings, demand the return of the goods at the Customer’s expense and risk, without any further formality other than a formal notice to return the goods sent by certified mail with return receipt requested.
